3. Nature and functions of CILIB

CILIB is a not-for-profit entity incorporated in Florida that carries out activities of international scope.

Within the framework of its purposes, it may promote commercial relations, facilitate contacts, organise activities, coordinate initiatives and connect its members with companies, professionals, institutions and other participants.

Unless there is an express agreement to the contrary, the Chamber acts as a facilitator and coordinator of activities and relationships, and not as a guarantor of the results of the transactions that its members or users carry out with third parties.

Participation in CILIB does not guarantee:

  • Obtaining clients, contracts, investments, financing or income.
  • The successful conclusion of commercial negotiations.
  • The granting of visas, permits, academic admissions or administrative authorisations.
  • The solvency, reliability or performance of third parties.
  • The official representation of a company, institution or public authority.

Any mandate, representation, specific intermediation or additional commitment must be expressly agreed in writing.

Its status as a not-for-profit entity does not mean that all of CILIB’s services are free of charge. The Chamber may charge membership fees, enrolment fees, participation fees and other amounts for the services it offers, in accordance with the conditions communicated.

4. Access to and use of the website

The user undertakes to use the website lawfully, diligently and in accordance with these terms.

In particular, the user must:

  • Provide truthful and up-to-date information where necessary to contract a service or take part in an activity.
  • Not use the website for unlawful, fraudulent or deceptive activities.
  • Not attempt to gain unauthorised access to systems, accounts or restricted information.
  • Not interfere with the operation of the website or introduce malicious software.
  • Respect the intellectual and industrial property rights of CILIB and of third parties.
  • Comply with the particular conditions of the programmes, events and services in which they participate.

CILIB may adopt reasonable measures to protect its systems, users and activities in the event of breaches of these terms, fraudulent use or security risks, while respecting contractual rights and the legally applicable safeguards.

5. Information and contracting of services

The information published on the website describes the services that CILIB offers or promotes.

Before contracting, the user must be able to consult the essential characteristics of the service, its requirements, duration, price, payment conditions and, where applicable, the cancellation and refund rules.

The contract shall be formalised through the procedure indicated for each service, once the required steps have been completed and the applicable conditions have been accepted.

CILIB may send a confirmation by email or another enabled means of communication.

Where the applicable legislation requires pre-contractual information, confirmations, documentation or additional formalities, the corresponding requirements shall be met.

6. Prices, taxes and payments

Prices shall be those indicated on the page, commercial proposal, registration form or document corresponding to each service.

They may be expressed in United States dollars (USD), euros (EUR) or another currency expressly indicated.

Before the contract is completed, the total amount and the applicable taxes or charges shall be disclosed, in accordance with the corresponding legal obligations.

Payments shall be made through the means enabled for each service. Where Stripe or another external provider is used, the payment may also be subject to that provider’s conditions.

CILIB shall not store full payment card details where the system used allows them to be processed directly through the corresponding provider.

6.1. Instalment payments

Where payment in instalments is permitted, the amount of each payment, its frequency, the number of instalments and the total price shall be disclosed.

The authorisation of periodic payments shall be limited to the payment plan expressly accepted by the client. No recurring charges or automatic renewals shall be made without the information and authorisation required by the applicable legislation.

The consequences of non-payment, the conditions for suspending a service and the cancellation options must be indicated in the corresponding particular conditions.

6.2. Invoicing

The client must provide the details necessary for the correct issue of the corresponding invoices or receipts.

CILIB shall issue the invoicing documentation in accordance with the tax obligations applicable to the transaction.

7. Affiliations and memberships

Memberships shall be subject to the requirements, rights, benefits, fees and conditions of the category contracted.

Where there are membership categories —such as Observer, Entrepreneur, Full or others—, their characteristics shall be described in the specific information for each type.

Benefits may include, depending on the category, participation in activities, access to certain services, networking opportunities, institutional communications, inclusion in authorised directories and other advertised benefits.

Membership does not guarantee commercial results or the obtaining of specific opportunities.

7.1. Duration and renewal

The duration of each membership shall be as indicated in the particular conditions. Where it is annual, the period of validity and the renewal conditions shall be specified.

Automatic renewals shall apply only where they have been clearly communicated and accepted in accordance with the applicable regulations.

Where there is no automatic renewal, the membership must be expressly renewed.

7.2. Cancellation and suspension

The member may request cancellation of their membership in accordance with the procedure and time limits communicated at the time of contracting.

CILIB may suspend or terminate a membership in the event of serious breaches, fraud, unlawful use of the services or non-payment, where appropriate under the accepted conditions and the applicable legislation.

Whenever reasonable, the reason shall be communicated and the breach may be remedied before a definitive measure is adopted.

The cancellation or termination of a membership shall not eliminate refund rights or other obligations that legally apply.

8. Training and educational programmes

Courses and programmes shall be subject to the specific conditions of admission, enrolment, schedule, duration, mode of delivery, assessment and completion.

The registration and start dates shall be indicated in the description of the corresponding programme. If a programme provides that enrolment closes on the 15th of each month and begins on the first working day of the following month, that condition must be expressly communicated before registration.

CILIB may introduce justified organisational changes, endeavouring to inform participants where such changes substantially affect the programme contracted and offering the appropriate alternatives or solutions.

Materials and access instructions shall be sent to the email address provided or made available through the indicated platform.

The participant shall be responsible for providing correct contact details and for having the technical means necessary to access the programme, unless otherwise agreed.

8.1. Certificates and qualifications

The attendance, assessment and completion requirements shall be communicated before registration.

Certificates shall be issued in accordance with the conditions of the programme and the established completion requirements.

CILIB shall clearly indicate the nature of each certificate, accreditation or qualification. Participation in a programme does not, in itself, imply obtaining an official academic degree or a professional licence.

Where a collaborating institution delivers the programme or issues an accreditation, the corresponding entity shall be identified and the relevant conditions shall be disclosed.

No qualification shall be presented as official unless that status has been duly accredited.

8.2. Programmes aimed at minors

Programmes intended for minors shall be subject to the age requirements, parental or guardian authorisation and other conditions corresponding to each activity.

The person formalising the registration must have the necessary powers and authorisations when acting on behalf of a minor.

CILIB may request the information reasonably necessary to verify compliance with these requirements and to protect participants.

9. Events and networking activities

Participation in events shall be subject to the availability of places, the registration requirements and the conditions announced for each activity.

CILIB may establish rules on access, schedules, capacity, security and conduct.

If it becomes necessary to modify or cancel an event for justified reasons, the Chamber shall endeavour to communicate this as far in advance as is reasonably possible.

Alternative participation options, changes of date and possible refunds shall be governed by the particular conditions and by the applicable legislation.

Attendance at an event does not guarantee that specific meetings will take place, that a particular person or institution will participate or that commercial agreements will be concluded.

10. Cancellations, withdrawal and refunds

The cancellation and refund conditions shall depend on the service contracted, the particular conditions accepted and the applicable legislation.

CILIB shall communicate the relevant commercial conditions before the contract is concluded, without prejudice to the rights to which the client is entitled by law.

Where a legal right of withdrawal applies, information shall be provided on its time limit, procedure, exceptions and effects.

For contracts subject to European Union consumer protection regulations, the general withdrawal period for many distance contracts is 14 calendar days, although there are exceptions and specific requirements depending on the nature of the service.

In particular, the handling of requests for the early commencement of a service or for access to digital content during the withdrawal period must comply with the corresponding legal requirements. The commencement of access to digital content does not automatically eliminate that right.

Cancellation or refund requests may be sent to infocenter@ccilib.org, indicating the service contracted and the transaction reference, where available.

Nothing in this section is intended to exclude rights of withdrawal, cancellation or refund that cannot be waived under the applicable legislation.

11. Obligations of clients and participants

Clients, members and participants undertake to:

  • Comply with the conditions of the service contracted.
  • Pay the agreed amounts.
  • Provide truthful information and keep their relevant details up to date.
  • Respect the rights of third parties and the applicable confidentiality obligations.
  • Not use CILIB’s services for unlawful, fraudulent or deceptive activities.
  • Not attribute to the Chamber statements, guarantees or commitments that it has not authorised.
  • Comply with the specific rules of the platforms and activities in which they participate.

Anyone contracting on behalf of a company or organisation declares that they have sufficient powers to do so.

12. Intellectual and industrial property

The content of the website and CILIB’s materials, including texts, logos, designs, publications, documents and training resources, belong to the Chamber or are lawfully used with the authorisation of their owners.

Access to the website or the contracting of a service does not entail the assignment of intellectual or industrial property rights.

Except with express authorisation or under a legal exception, it is not permitted to reproduce, distribute, modify, market or exploit such content for purposes other than those authorised.

Training materials shall be used in accordance with the specific conditions of the programme. Trademarks and materials belonging to collaborators or third parties shall remain subject to the rights of their respective owners.

13. Third-party services

CILIB may use external platforms to process payments, host the website, deliver courses, organise videoconferences or manage communications.

These services may be subject to the provider’s own conditions.

The Chamber does not necessarily control the operation of external services and shall not be liable for incidents attributable exclusively to third parties, except where CILIB itself is liable or the applicable legislation provides otherwise.

14. Personal data protection

The processing of personal data shall be governed by the Privacy Policy published at:

https://ccilib.org/en/privacy-policy/

The Chamber may process data to manage enquiries, memberships, contracts, payments, events, programmes, communications and other activities related to its functions, in accordance with the applicable purposes and legal bases.

The Privacy Policy provides additional information on data processing, recipients, international transfers, retention periods and the rights of individuals.

Acceptance of these terms does not replace the specific consents that may be necessary for certain processing of personal data.

15. Availability of the website

CILIB shall endeavour to keep the website available and up to date, but does not guarantee uninterrupted access or the complete absence of errors or technical incidents.

The Chamber may carry out maintenance work, update content or modify functionalities where necessary.

These actions shall not release CILIB from the contractual obligations it has undertaken nor affect the rights legally recognised to clients.

16. Liability

CILIB shall carry out its activities with reasonable diligence and in accordance with the obligations undertaken.

The Chamber does not guarantee specific commercial, economic, academic or institutional results, nor the success of relationships or negotiations between members, users and third parties.

To the extent permitted by the applicable legislation, CILIB shall not be liable for independent business decisions made by users or for breaches attributable exclusively to third parties with whom they have contracted directly.

CILIB’s liability shall be determined in accordance with the obligations undertaken, the circumstances of each case and the applicable legislation.

No provision of these terms excludes or limits liabilities that cannot legally be excluded or limited, nor restricts the non-waivable rights of consumers.

17. Extraordinary circumstances

Where circumstances beyond CILIB’s reasonable control prevent or delay the provision of a service, the Chamber shall inform those affected where reasonably possible and shall adopt proportionate measures to reduce the effects.

The application of this clause shall be subject to the corresponding legal requirements and shall not eliminate cancellation, refund or other rights to which persons are entitled by law.

18. Complaints

Enquiries and complaints relating to the services may be addressed to:

CILIB shall endeavour to examine complaints in good faith and to respond within a reasonable period.

Where applicable, clients may have recourse to the administrative, out-of-court or judicial mechanisms available under the applicable legislation.

19. Applicable law and jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States, to the extent that they are applicable to the corresponding contractual relationship.

Disputes shall be submitted to the competent courts in accordance with the applicable rules on jurisdiction.

Where the client has the legal status of consumer or the transaction is subject to mandatory rules of another jurisdiction, the protections and rights applicable under those rules shall be respected.

No provision of these terms is intended to deprive the client of non-waivable rights or to exclude the jurisdiction of courts that are legally required to hear a dispute.

20. Amendments

CILIB may update these terms where necessary owing to changes in its services, organisation, procedures or legal requirements.

The current version will be available at https://ccilib.org/, together with the date of update.

Amendments affecting contracts already formalised shall apply in accordance with the contractual conditions and the applicable legislation. Where a specific communication or new acceptance is necessary, the appropriate procedure shall be followed.

21. Partial invalidity

If any provision of these terms is declared invalid or unenforceable, the remaining provisions shall remain valid to the extent permitted by the applicable legislation.

The affected provision shall be interpreted or replaced, where legally appropriate, in a manner compatible with its legitimate purpose and with the rights of the parties.
